13.5 Procedures; Fees. Except as otherwise set forth in these Terms, if you commence Arbitration in accordance with these Terms, KMG MediaKeto Max Gummies will reimburse you for your payment of the filing fee, unless your Claim is for more than $10,000 or as set forth below, in which case the payment of any fees will be decided by the AAA Rules. Any arbitration hearing will take place at a location to be agreed upon in Pinellas County, Florida, USA, but if the Claim is for $10,000 or less, you may choose whether the Arbitration will be conducted: (a) solely on the basis of documents submitted to the arbitrator; or (b) through a non-appearance based telephone hearing. If the arbitrator finds that either the substance of your Claim or the relief sought in the Demand is frivolous or brought for an improper purpose (as measured by the standards set forth in Federal Rule of Civil Procedure 11(b)), then the payment of all fees will be governed by the AAA Rules. In that case, you agree to reimburse KMG MediaKeto Max Gummies for all monies previously disbursed by it that are otherwise your obligation to pay under the AAA Rules. Regardless of the manner in which the arbitration is conducted, the arbitrator must issue a reasoned written decision sufficient to explain the essential findings and conclusions on which the decision and award, if any, are based. The arbitrator may make rulings and resolve disputes as to the payment and reimbursement of fees or expenses at any time during the proceeding and upon request from either party made within 14 days of the arbitrator’s ruling on the merits.

13.6 Arbitration. Any Arbitration proceeding shall be initiated and administered in Pinellas County, Florida, USA (unless you and KMG MediaKeto Max Gummies mutually agree to have such Arbitration proceeding in some other locale) by AAA and in accordance with the then current AAA Rules. The Arbitration shall be administered by one (1) arbitrator selected in accordance with the then current AAA Rules, and the arbitrator shall determine the exact time and location of the Arbitration. The arbitrator shall apply Florida substantive law, or federal substantive law where state law is preempted. The arbitrator shall prepare in writing and provide to the parties an award including factual findings and the legal reasons on which the award is based, which may be entered in any court of competent jurisdiction. The arbitrator shall not have the power to commit errors of law or legal reasoning. If KMG MediaKeto Max Gummies is the prevailing party in any Arbitration, we shall seek an award of our reasonable attorneys’ fees, expert fees, non-expert witness costs and any other expenses incurred directly or indirectly in connection with the Arbitration, including without limitation the fees and expenses of the arbitrator.

13.7 No Class Actions. YOU AND KMG MediaKeto Max Gummies AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Further, unless both you and KMG MediaKeto Max Gummies agree otherwise, the arbitrator may not consolidate more than one person’s Claims, and may not otherwise preside over any form of a representative or class proceeding.

13.8 Modifications to Arbitration Provision. If KMG MediaKeto Max Gummies makes any future change to the Arbitration provisions set forth above in these Terms, other than a change to KMG MediaKeto Max Gummies’s address for Notice, you may reject the change by sending us written notice within 30 days of the change to KMG MediaKeto Max Gummies’s address for Notice, in which case this Arbitration provision, as in effect immediately prior to the changes you rejected, will continue to govern any disputes and Claims between you and KMG MediaKeto Max Gummies.

13.9 Enforceability. If Section 13.7 (No Class Actions) is found to be unenforceable, then such Section 13.7 will be null and void and, in that case, the parties agree that the exclusive jurisdiction and venue described directly below in Section 13.10 (Choice of Law; Venue) will govern any action arising out of or related to these Terms or your use of the Site or Products.

13.10 Choice of Law; Venue. These Terms will be governed and construed in accordance with the laws of the State of Florida. In the event of any Claims arising out of or in connection with these Terms that are submitted to any court, then you and KMG MediaKeto Max Gummies agree to submit to the personal and exclusive jurisdiction and venue of the state and federal courts located within Pinellas County, Florida. You agree to and hereby waive any objections and defenses you may have to such jurisdiction and venue.

13.11 Waiver of Injunctive Relief. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN THE EVENT THAT YOU CLAIM TO HAVE INCURRED ANY LOSSES, DAMAGES, OR INJURIES IN CONNECTION WITH YOUR ACCESS OR USE OF THIS SITE IN ANY MANNER, THEN SUCH LOSSES, DAMAGES, AND INJURIES WILL NOT BE DEEMED IRREPARABLE OR SUFFICIENT TO ENTITLE YOU TO ANY DECLARATORY RELIEF, INJUNCTIVE RELIEF OR OTHER EQUITABLE RELIEF OF ANY KIND. WITHOUT LIMITING THE FOREGOING, THIS MEANS THAT YOU MAY NOT SEEK AND YOU WILL NOT BE PERMITTED TO OBTAIN ANY INJUNCTIVE RELIEF IN CONNECTION WITH YOUR CLAIM THAT MAY PREVENT OR OTHERWISE INTERFERE WITH ANY DEVELOPMENT OR EXPLOITATION OF ANY WEBSITE, APPLICATION, SOFTWARE, CONTENT, USER CONTENT, PRODUCT, SERVICE, OR INTELLECTUAL PROPERTY RIGHTS IN ANY WAY OWNED, CONTROLLED, LICENSED OR OTHERWISE USED BY ANY OF THE RELEASED PARTIES OR ANY OF THEIR RESPECTIVE LICENSORS.

 

XIV. TERMINATION

Notwithstanding any of these Terms, we reserve the right, without notice or any liability, and in our sole discretion, to terminate your license to use this Site, and to block or prevent future access to and use of this Site for any reason or no reason. Upon termination, these Terms will still apply. Any suspension or termination will not affect your obligations to KMG MediaKeto Max Gummies under these Terms or any applicable Additional Policies. Upon suspension or termination of your access to the Site, or upon notice from KMG MediaKeto Max Gummies, all rights granted to you under these Terms or any applicable Additional Policies will cease immediately, and you agree that you will immediately discontinue use of the Site. 16.3 Force Majeure. 16.4 No Waiver. Any failure by KMG MediaKeto Max Gummies to enforce or exercise any provision of this Agreement or related rights shall not constitute a waiver of that right or provision. No waiver of any provision of this Agreement by KMG MediaKeto Max Gummies shall be construed as a waiver of any other provision nor shall any waiver constitute a continuing waiver unless otherwise expressly provided in writing signed by an officer of KMG MediaKeto Max Gummies.

16.5 Assignment. KMG MediaKeto Max Gummiesmay assign its rights and obligations under these Terms and any Additional Policies, in whole or in part, to any party at any time without any notice.
